About Founders' Agreement

A founders' agreement is a document, involving a company with two or more founders, specifying the details of the development of the company, such as the share of ownership and guaranteed obligations of the different founders.

It can be treated as a baseline for how co-founder relationships will work and how a company is structured. It is important to remember that a founders’ agreement is an initial assessment of how things stand when the business is young. It’s a negotiable document, liable to change.

A founders' agreement must essentially include:
  • The names of co-founders
  • The name of the business
  • The goals of the company
  • The roles and responsibilities of co-founders
  • Division of equity
  • IP Assignment
  • Termination Clauses
The fundamental aspect of a Founders' Agreement must be that it codifies the rules business partners will adhere to as the business grows and prospers. It's important to discard possible disagreements before they affect the business negatively. The agreement must ensure that everyone knows where they stand, as far as ownership and decision-making powers are concerned.
