About Close Your LLP

The closing of an LLP company can be initiated voluntarily or by striking off or by a Tribunal. If an LLP is to initiate winding up voluntarily, then the LLP must pass a resolution to wind up the LLP with approval of at least three-fourths of the total number of Partners. If the LLP has lender's, secured or unsecured, then the approval of the lenders would also be required for winding up of the LLP.

To begin the process for winding up of LLP, a resolution for winding up of LLP must be passed and filed with the Registrar within 30 days of passing of the resolution. On the date of passing of the resolution of winding up of LLP, the voluntary winding up shall be deemed to commence. 

The Limited Liability Partnership (Amendment) Rules, 2017 has made it easier to close an LLP by making an application to the Registrar through what is known as LLP Form 24 for striking off the name of LLP.

  • Self Attested PAN Card copy
  • Self Attested copy of any one of the Identity Proof(Voter's ID/Passport/Driver's License)
  • Self Attested copy of Address Proof in the name of director (Any utility bill i.e., mobile bill/water bill/ electricity bill, or bank statement which should not be older than two months)
  • Passport-sized photograph
  • Rent Agreement (Notarised: For rented property)
  • Sale Deed/Property Deed in English (in case of owned property)
  • No-objection Certificate from property owner
  • Latest Electricity Bill / Mobile or Telephone Bill / Latest Bank Statement/Gas Bill
